By accessing or using Zephly ("the Platform", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Zephly is a SaaS (Software as a Service) platform that provides:

• AI-powered automation workflows
• Content generation and processing tools
• File storage and management ("Artifacts")
• Integration with third-party AI services

The Service operates on a credit-based system where different operations consume varying amounts of credits.

To use the Service, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

Credit System:

• Credits are the unit of consumption for using the Service
• Different operations consume different amounts of credits
• Credits are allocated based on your subscription plan
• Unused monthly credits do not roll over to the next billing period

Subscriptions:

• Subscription fees are billed monthly in advance
• Prices are displayed in EUR (€) and include applicable taxes
• Payment is processed securely through Stripe

Credit Packs:

• Additional credits can be purchased as one-time packs
• Purchased credits do not expire as long as your account is active

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe intellectual property rights of others
• Generate illegal, harmful, or abusive content
• Spam, harass, or harm other users
• Attempt to bypass usage limits or security measures
• Reverse engineer or exploit the platform
• Violate the terms of integrated AI providers (OpenAI, Anthropic, Google, etc.)

We reserve the right to suspend or terminate accounts that violate these terms.

Your Content:

• You retain all rights to content you create or upload
• You grant us a license to host, process, and display your content as needed to provide the Service
• You are responsible for ensuring you have rights to any content you upload

AI-Generated Content:

• Content generated by AI tools through our platform may be subject to the terms of the underlying AI providers
• You are responsible for reviewing and using AI-generated content appropriately

Our Content:

• The Zephly platform, branding, and proprietary technology remain our property
• You may not copy, modify, or redistribute our platform or its components

Storage Limits:

• Each subscription plan includes a storage allocation
• Storage usage is calculated based on uploaded files and generated artifacts
• Exceeding storage limits may restrict certain features

Data Retention:

• We retain your artifacts while your account is active
• Deleted artifacts are permanently removed within 30 days
• Upon account termination, all artifacts are deleted

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will notify users in advance when possible)
• Unexpected technical issues
• Circumstances beyond our control

We are not liable for any losses resulting from service interruptions.

Disclaimer: The Service is provided "AS IS" without warranties of any kind, express or implied.

AI Results: We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and validating all outputs.

Liability Cap: To the maximum extent permitted by law, our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

Exclusions: We are not liable for indirect, incidental, consequential, or punitive damages.

Cancellation:

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until the period ends

Refunds:

• Please see our Refund Policy for detailed information
• Generally, consumed credits are not refundable
• Refund requests are evaluated on a case-by-case basis

We may modify these Terms at any time. We will notify you of significant changes by:

• Posting a notice on our website
• Sending an email to registered users

Continued use of the Service after changes constitutes acceptance of the new Terms.

By You: You may terminate your account at any time by contacting us at support@zephly.ai or through your account settings.

By Us: We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay applicable fees

Upon termination, your right to use the Service ends immediately.

These Terms are governed by French law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Saint-Étienne, France, unless otherwise required by applicable consumer protection laws.
